Terms of Service
These Terms of Service govern access to the ATRIDA TECH website and the delivery of our IT consulting, staffing, managed services, software, cloud, cybersecurity, and other technology-related services.
1. Acceptance of Terms
By accessing this website or engaging ATRIDA TECH for services, you agree to these Terms of Service. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Services and Statements of Work
ATRIDA TECH provides technology-related services, which may include IT consulting, managed services, cloud services, software development, cybersecurity, analytics, staffing, recruitment, and related support. Specific deliverables, timelines, service levels, pricing, and responsibilities may be described in a separate proposal, statement of work, work order, master services agreement, or other written contract.
If a separate signed agreement applies, that agreement will control to the extent of any conflict with these Terms of Service.
3. Client Responsibilities
Clients agree to provide timely access to information, personnel, systems, approvals, and materials reasonably necessary for ATRIDA TECH to perform the services. Clients remain responsible for the accuracy, legality, and completeness of content, data, credentials, and instructions they provide.
Clients are also responsible for maintaining appropriate backups, business continuity procedures, and internal approvals unless a signed agreement expressly assigns those responsibilities to ATRIDA TECH.
4. Fees and Payment
Fees, billing schedules, and payment terms will be set forth in the applicable quote, proposal, or service agreement. Unless otherwise agreed in writing, invoices are due according to the payment term stated on the invoice. Late payments may result in suspension of services, delayed delivery, or applicable late charges permitted by law.
5. Change Requests
Any material change to scope, timelines, deliverables, staffing, or assumptions may require a written change request, updated estimate, or revised project schedule. ATRIDA TECH is not responsible for delays caused by client-side dependencies, third-party providers, or scope changes introduced after work begins.
6. Intellectual Property
Each party retains ownership of its pre-existing intellectual property, materials, tools, documentation, methodologies, code libraries, templates, know-how, and other proprietary assets. Upon full payment of applicable fees, the client will receive the rights expressly granted in the governing agreement for project-specific deliverables created for that client.
Unless otherwise agreed in writing, ATRIDA TECH retains ownership of its background technology, reusable components, frameworks, processes, and general knowledge used or developed in the course of providing services.
7. Confidentiality
Each party agrees to protect the other party's confidential information using reasonable care and to use such information only for purposes related to the services or business relationship. Confidential information does not include information that is publicly available without breach, independently developed, or rightfully received from a third party without confidentiality restrictions.
8. Data Protection and Security
ATRIDA TECH will implement reasonable safeguards designed to protect client information under our control. However, the client acknowledges that no system, network, or transmission method is completely secure. Where ATRIDA TECH processes personal or regulated data on behalf of a client, the parties may execute additional data protection terms as needed.
9. Third-Party Platforms and Dependencies
Services may involve third-party software, infrastructure, APIs, hosting providers, tools, or vendors. ATRIDA TECH is not responsible for failures, outages, licensing changes, pricing changes, security events, or performance issues caused by third-party products or services outside our reasonable control.
10. Warranties Disclaimer
Except as expressly stated in a signed written agreement, the website and services are provided on an "as is" and "as available" basis. ATRIDA TECH disclaims all implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
11. Limitation of Liability
To the maximum extent permitted by law, ATRIDA TECH will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
Unless otherwise stated in a signed agreement, ATRIDA TECH's total aggregate liability arising out of or related to the services or these terms will not exceed the amount paid to ATRIDA TECH for the specific services giving rise to the claim during the six-month period preceding the event giving rise to liability.
12. Indemnification
Clients agree to indemnify and hold ATRIDA TECH harmless from claims, losses, or expenses arising out of client-provided content, unlawful instructions, misuse of deliverables, violation of law, or breach of these terms, except to the extent caused by ATRIDA TECH's willful misconduct or breach of a signed written agreement.
13. Suspension and Termination
Either party may terminate ongoing services as provided in the applicable agreement. ATRIDA TECH may suspend or terminate access to services for nonpayment, security concerns, unlawful activity, abuse of systems, or material breach. Upon termination, the client remains responsible for fees incurred through the termination date and any approved transition or handoff work.
14. Governing Law
Unless otherwise required by a signed agreement, these Terms of Service are governed by the laws of the State of Georgia, without regard to conflict of law principles.
15. Updates to These Terms
ATRIDA TECH may update these Terms of Service from time to time. Updated terms will be posted on this page with a revised effective date. Continued use of the website or services after updated terms are posted constitutes acceptance of the revised terms.
